Terms of Use

1. Agreement

These Terms of Use ("Terms") form a binding agreement between you and Deplay Labs ("Deplay Labs", "we", "us", or "our") governing your access to and use of Filepool (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. What Filepool Is

Filepool is an upload layer for Arweave, a permanent, decentralized storage network operated by an independent global community. Filepool helps you submit files to Arweave; it does not itself host, store, or control your files.

Once a file is written to Arweave, it becomes part of a permanent, replicated ledger maintained by third-party nodes. Deplay Labs cannot modify, remove, or guarantee the availability of files on Arweave.

3. Accounts and Authentication

Filepool uses Passkey-based authentication. When you create an account, a wallet address is generated specifically for that Passkey. We do not ask for or collect your email address, phone number, or any pre-existing wallet. You are solely responsible for safeguarding your device, your Passkey, and any credentials that grant access to your wallet.

Loss of access to your Passkey may result in permanent loss of access to your account and any assets or files associated with it. We cannot recover Passkeys or wallets on your behalf.

4. Your Content and Responsibility

You retain all rights to the files and content you upload through Filepool ("Your Content"). You are solely responsible for Your Content and for ensuring that:

• You own or have all necessary rights and licenses to upload it;
• It does not infringe any third party's intellectual property, privacy, publicity, or other rights;
• It complies with all applicable laws and regulations; and
• You understand and accept that content submitted to Arweave is intended to be permanent and cannot be deleted.

5. Prohibited Content and Conduct

You agree not to use the Service to upload, submit, or transmit content that:

• Infringes the intellectual property or other rights of any party;
• Is unlawful, defamatory, harassing, or violates the privacy of others;
• Contains child sexual abuse material or promotes violence, terrorism, or other criminal activity;
• Contains malware, viruses, or other harmful code; or
• Is intended to defraud, deceive, or manipulate others.

We may, at our discretion, refuse to submit content through our upload layer or restrict access to the Service.

6. Copyright and DMCA

Deplay Labs respects intellectual property rights and expects users to do the same. Because files are stored on Arweave, not on our servers, we cannot remove content from the underlying network. However, in accordance with the U.S. Digital Millennium Copyright Act (DMCA) and analogous frameworks in other jurisdictions, we will act on properly submitted notices to the extent within our control — for example, by removing references to allegedly infringing content from Filepool's interfaces and terminating repeat infringers' accounts.

To submit a DMCA notice, please include:

• Identification of the copyrighted work claimed to be infringed;
• A description and location (URL or transaction ID) of the allegedly infringing material;
• Your contact information (name, address, phone number, email);
• A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and
• Your physical or electronic signature.

7. No Storage by Deplay Labs

Filepool is a client and upload layer. We do not operate Arweave, we do not run Arweave storage nodes, and we do not maintain independent copies of your files. All storage, replication, and retrieval of files occurs on the Arweave network. Deplay Labs makes no representations or warranties regarding the availability, durability, or persistence of any file on Arweave.

8. Fees

Storing data on Arweave may require payment of network fees payable in Arweave's native token or another supported asset. Any such fees are paid to the Arweave network, not to Deplay Labs, unless expressly stated otherwise in the Service.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Deplay Labs does not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, nor that any file uploaded through the Service will remain accessible on Arweave.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Deplay Labs and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Service. In no event shall our aggregate liability exceed one hundred U.S. dollars (US $100).

11. Indemnification

You agree to indemnify and hold harmless Deplay Labs from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with (i) Your Content, (ii) your use of the Service, or (iii) your violation of these Terms or applicable law.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Service at any time. Because Arweave is permanent, termination does not remove files previously written to the network.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date at the top of this page. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Deplay Labs is established, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the competent courts of that jurisdiction.
